WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WING SNOB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL WING SNOB'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO WING SNOB IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

The limitations of liability set forth in this section reflect a fair allocation of risk and form an essential basis of the bargain between you and Wing Snob. These limitations shall apply notwithstanding any failure of essential purpose of any limited remedy.

11. Indemnification

You agree to defend, indemnify, and hold harmless Wing Snob and its officers, directors, employees, agents, subsidiaries, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or in connection with:

• Your use of or access to the Services or Website;
• Your violation of any provision of these Terms;
• Your violation of any applicable federal, state, or local law or regulation;
• Your violation of any rights of a third party, including intellectual property rights, privacy rights, or consumer protection rights;

You waive any objection to the laying of venue in such courts and waive any claim that such courts are an inconvenient forum.

13. Dispute Resolution

13.1 Informal Resolution

In the event of any dispute, claim, or controversy between you and Wing Snob arising out of or relating to these Terms or the Services ("Dispute"), both parties agree to first attempt to resolve the Dispute informally. You must contact Wing Snob at [email protected] with a written description of the Dispute, and Wing Snob will attempt to resolve the matter within thirty (30) days of receipt. If the Dispute is not resolved informally within thirty (30) days, either party may pursue formal resolution as set forth below.

13.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

If the Dispute cannot be resolved informally, you and Wing Snob agree that any Dispute shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding, and judgment on the arbitrator's award may be entered in any court of competent jurisdiction.

13.3 Class Action Waiver

YOU AND WING SNOB EACH AGREE THAT CLAIMS MAY ONLY BE BROUGHT IN YOUR OR OUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, CLASS ARBITRATION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS OR REPRESENTATIVE PROCEEDING.

13.4 Small Claims Court Exception

Notwithstanding the above, either party may bring an individual claim in a small claims court of competent jurisdiction, provided the claim qualifies under the applicable small claims court rules.

13.5 Injunctive Relief

Nothing in this Section shall prevent Wing Snob from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm.

14. Term and Termination

These Terms shall remain in full force and effect for as long as you access or use the Services. Wing Snob reserves the right, in its sole discretion, to:

• Suspend or terminate your access to all or any part of the Services at any time, with or without notice, for any reason, including but not limited to your breach of these Terms;
• Delete your account and any content associated with it;
• Refuse future access to the Services.

Upon termination, the following provisions shall survive and continue in full force and effect: Intellectual Property Rights (Section 7), Disclaimers (Section 9), Limitation of Liability (Section 10), Indemnification (Section 11), Governing Law (Section 12), Dispute Resolution (Section 13), Severability (Section 16), and any other provisions that by their nature should survive termination.

Wing Snob reserves the right to modify, update, or replace these Terms at any time at its sole discretion. When we make material changes to these Terms, we will notify you by:

The invalid or unenforceable provision shall be replaced with a valid and enforceable provision that most closely reflects the original intent of the parties.

The failure of Wing Snob to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver by Wing Snob of any breach or default shall be deemed a continuing waiver of such breach or default, or a waiver of any other breach or default.

17. Entire Agreement

These Terms of Service, together with our Privacy Policy (available at wingsnobchick.rest) and any other legal notices or policies published by Wing Snob on the Website, constitute the entire agreement between you and Wing Snob with respect to the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.

No modification of these Terms shall be effective unless made in writing and signed by an authorized representative of Wing Snob. Electronic communications shall not constitute written modifications unless specifically acknowledged in writing by Wing Snob.

18. Force Majeure

Wing Snob shall not be liable for any failure or delay in performance of its obligations under these Terms where such failure or delay results from any cause beyond Wing Snob's reasonable control, including but not limited to acts of God, natural disasters, pandemic or epidemic, fire, flood, war, terrorism, civil unrest, government action or regulation, labor strikes, power outages, internet service disruptions, supply chain failures, or any other event of force majeure. In such circumstances, Wing Snob's obligations shall be suspended for the duration of the force majeure event.
